Terms and Conditions
1. The Subscription Services
It’s Mental will provide its services as detailed in and in accordance with the terms of the proposal / contract and as otherwise agreed in writing by the client and It’s Mental.
2. Payment terms
On signoff of the subscription proposal / contract, the client will be invoiced up front on the 1st of every month for the agreed monthly subscription fee based on the proposal agreement. The payment must be made by return to secure the proposal dates. The subscription fee must be paid within 14 days of the date of the invoice. It’s Mental may suspend all or part of its services if payment is not made in accordance with this clause.
3. Cancellation Period
After the initial agreed period of proposal / contract. We require 90 days written or email notice prior to event date of cancellation, otherwise 100% of the monthly subscription fee will continue to be invoiced on a rolling monthly contract. If we do not have a new proposal or contract in place prior to the initial period of contract, the monthly subscription fee will continue to be invoiced on a rolling contract. We require 90 days written or email notice to take the necessary steps to manage the off-boarding process of the employees details from the prevention platform that might be impacted on the service cancellation. Due to the sensitivity and personal dependency to the prevention platform that some of your employees might have established over a period of time we will discuss offering the subscription service on a personal basis to the individuals that might be effected by the service coming to an end through your company wellbeing strategy.
4. Intellectual Property
The client acknowledges and agrees that, as between the parties, It’s Mental and/or its licensors own and retain all intellectual property rights in all materials (including but not limited to course content and exercise) provided in connection with the services and/or developed or produced in connection with the proposal by It’s Mental, its officers, employees, sub-contractors or agents. Except as expressly stated in the proposal / contract, It’s Mental does not grant the client any rights to use or reproduce such materials or the intellectual property rights therein.
5. Liability
Except as expressly provided in the proposal the client assumes sole responsibility for the outcomes obtained from the use of the services, and for conclusions drawn from such use and all warranties, conditions and other terms implied by statute, common law or otherwise are, to the fullest extent permitted by law, excluded from this agreement. It’s Mental total liability to the client for any costs, claims, expenses, loss or damage whether direct, indirect or consequential, and whether economic or other) arising from the client’s use of the services shall be limited to £1,000.
Nothing in the proposal or these terms excludes or limits the liability of It’s Mental for (a) death or personal injury caused by It’s Mental’s negligence, (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot lawfully be excluded or limited.
